Aditya Birla Sun Life AMC Ltd on Thursday (December 4) said it has incorporated a wholly-owned subsidiary, Aditya Birla Sun Life AMC International (IFSC) Ltd, in GIFT City, Gandhinagar.

“…we would like to inform you that ‘Aditya Birla Sun Life AMC International (IFSC) Limited’ has been incorporated as a Wholly Owned Subsidiary of the Company. The Ministry of Corporate Affairs, Government of India, has issued the Certificate of Incorporation on December 4, 2025, at 12:50 PM (IST),” according to a stock exchange filing.

This follows the company’s earlier intimation dated July 24, 2025, regarding its plan to set up a subsidiary in GIFT City. The new entity has an authorised capital of ₹15 crore and a paid-up capital of ₹50 lakh. It has not commenced business operations and currently has no turnover. As a wholly-owned subsidiary, it is a related party of Aditya Birla Sun Life AMC Limited, which is also its holding company and promoter.

The subsidiary belongs to the financial and advisory services sector. Its primary objective is to operate as a fund management entity under the International Financial Services Centres Authority (Fund Management) Regulations, 2025.

Its permitted activities include acting as investment manager, sponsor, settler, trustee, or advisor to pooled investment vehicles such as venture capital schemes, restricted schemes, retail schemes, special situations funds, family investment funds, fund-of-funds, and co-investment structures in IFSC and other permitted jurisdictions. It will also provide portfolio management and investment advisory services and undertake related activities subject to applicable laws.

The company has subscribed to five lakh equity shares of ₹10 each, aggregating to ₹50 lakh, through cash consideration, resulting in 100% ownership. The subsidiary will seek registrations from IFSCA, RBI, and other statutory bodies as required. SEBI had earlier issued a no-objection for setting up the subsidiary in GIFT City.

Shares of Aditya Birla Sun Life AMC Ltd ended at ₹726.45, up by ₹3.50, or 0.48%, on the BSE today, December 4.
